O estudo analisa a desconsideração da personalidade jurídica das sociedades comerciais a partir da doutrina portuguesa e de bibliografia estrangeira, com referência ao artigo 5.º do Código das Sociedades Comerciais português. O percurso revisa os conceitos prévios ao tema — personalidade jurídica e momento da aquisição da personalidade coletiva — e apresenta as construções doutrinárias que procuram justificar a desconsideração, as teorias negativas, o quadro geral dos casos de imputação e de responsabilidade e o tratamento da figura no direito português. O texto sustenta que a personalidade jurídica das sociedades comerciais foi concebida para estimular a iniciativa empresarial privada mediante a separação entre o património social e o património pessoal dos sócios, e enfrenta os problemas do instituto: a ausência de consistência teórico-doutrinária e de aplicação jurisprudencial corrente, a indefinição sobre quem é atingido pela desconsideração e sobre a via processual adequada, e a suficiência das normas de direito civil e societário sobre abuso do direito e responsabilidade. Conclui que o problema não está na personalidade jurídica da sociedade, mas no património de que é titular e no comportamento humano que dela se serve.
